1. Overview

These Terms of Service (“Terms”) govern the use of services provided by Go Virtual, LLC (“Company,” “we,” “our,” or “us”) through the website www.hirevirtualsupport.com and through any related service agreements or contracts.

By engaging Go Virtual, LLC for services, accessing our website, or entering into a service agreement with us, you (“Client,” “Customer,” or “you”) agree to be bound by these Terms.

These Terms are incorporated by reference into all service agreements and contracts between Go Virtual, LLC and its clients.


2. Services

Go Virtual, LLC provides remote staffing and virtual assistant services, including but not limited to:

  • Administrative support
  • Customer service support
  • Technical and operational support
  • Marketing and sales assistance
  • Executive assistant services
  • Back-office and operational support

The specific services provided will be defined in the applicable service agreement or proposal between Go Virtual, LLC and the Client.

Go Virtual, LLC reserves the right to modify, improve, or discontinue services at its discretion.


3. Independent Contractor Relationship

All virtual assistants, contractors, and personnel assigned to clients through Go Virtual, LLC remain employees or contractors of Go Virtual, LLC.

Clients acknowledge and agree that:

  • Virtual assistants are not employees of the Client
  • Go Virtual, LLC maintains responsibility for employment, compensation, payroll, benefits, and management of personnel
  • The Client may provide work direction but does not have authority to hire, fire, or directly employ assigned personnel


4. Non-Solicitation and Non-Circumvention

To protect the integrity of our staffing model and the investments made in recruiting, training, and managing personnel, clients agree to the following restrictions.


4.1 Non-Solicitation of Personnel

During the term of service and for 24 months after the termination of services, the Client agrees not to:

  • Directly or indirectly recruit
  • Hire
  • Contract with
  • Employ
  • Solicit for employment

any employee, contractor, or virtual assistant introduced or assigned by Go Virtual, LLC.

This restriction applies whether the solicitation is direct or through a third party.


4.2 Circumvention

Clients agree not to bypass Go Virtual, LLC in order to obtain services directly from any assistant, employee, contractor, or affiliate introduced through the Company.


4.3 Buyout Option

If a Client wishes to hire a virtual assistant directly, a buyout fee may be available at the sole discretion of Go Virtual, LLC. The buyout fee will be determined by Go Virtual, LLC and must be paid prior to any direct employment relationship.


4.4 Damages

Violation of this section may result in:

  • Immediate termination of services
  • Liquidated damages
  • Legal recovery of recruiting and training costs

The Client agrees that damages may include but are not limited to a fee equal to 12 months of the assistant’s service rate, or another reasonable estimate of damages determined by Go Virtual, LLC.


5. Client Responsibilities

Clients agree to:

  • Provide clear instructions and reasonable workloads
  • Maintain respectful and professional communication with assistants
  • Use services only for lawful purposes
  • Not request work outside the agreed scope without prior approval

Clients are responsible for reviewing all work produced by assigned assistants.

Go Virtual, LLC is not responsible for decisions made by clients based on work performed by assistants.


6. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information shared during the course of services.

Confidential information includes but is not limited to:

  • Business processes
  • Client lists
  • Financial data
  • Internal communications
  • Trade secrets
  • Operational strategies

Assistants and staff are required to follow internal confidentiality policies.

Clients agree not to disclose internal processes, pricing models, or operational methods of Go Virtual, LLC.


7. Payment Terms

Payment terms are defined in the client’s service agreement or invoice.

Clients agree that:

  • Services are billed according to the agreed pricing structure
  • Invoices must be paid according to the payment schedule
  • Failure to pay may result in suspension or termination of services

Go Virtual, LLC reserves the right to update pricing with appropriate notice.


8. Service Availability

Go Virtual, LLC makes reasonable efforts to maintain consistent service delivery. However, the Company does not guarantee uninterrupted availability of assistants or services.

Staffing assignments may change due to:

  • illness
  • scheduling conflicts
  • operational needs
  • employee turnover

If an assistant becomes unavailable, Go Virtual, LLC will make reasonable efforts to provide a replacement.


9. Limitation of Liability

To the maximum extent permitted by law, Go Virtual, LLC shall not be liable for:

  • indirect damages
  • lost profits
  • lost business opportunities
  • consequential damages
  • errors or omissions resulting from client-provided instructions

The total liability of Go Virtual, LLC for any claim shall not exceed the amount paid by the Client for services during the three (3) months preceding the claim.


10. Termination

Either party may terminate services in accordance with the termination terms outlined in the applicable service agreement.

Go Virtual, LLC may terminate services immediately if:

  • these Terms are violated
  • payment obligations are not met
  • abusive or inappropriate behavior occurs toward staff

Upon termination, all outstanding invoices become immediately due.


11. Intellectual Property

All materials, processes, workflows, and operational methodologies created by Go Virtual, LLC remain the intellectual property of the Company.

Clients retain ownership of their own business data and materials provided to assistants.


12. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms, the services provided by Go Virtual, LLC, or any agreement between the Client and Go Virtual, LLC shall be resolved through binding arbitration.

The arbitration shall be administered in accordance with the rules of the American Arbitration Association (AAA) or a comparable arbitration provider agreed upon by the parties.

All arbitration proceedings shall:

  • Take place exclusively in San Diego County, California
  • Be conducted in the State of California
  • Be governed by the laws of the State of California

The parties agree that arbitration will be the exclusive method of resolving disputes, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, or enforce non-solicitation provisions.

Each party shall bear its own legal fees and costs unless otherwise determined by the arbitrator.


13. Changes to Terms

Go Virtual, LLC may update these Terms of Service from time to time.

Continued use of services constitutes acceptance of any updated terms.


14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict of law principles.
